Welcome to SONICK. These Terms of Service (“Terms”) govern your use of our website, services, and any products provided by SONICK (“we,” “us,” or “our”), a digital agency specialising in graphic design and web development. By engaging with our services, you (“you,” “Client”) agree to be bound by these Terms.
1. Service
SONICK provides digital services, including but not limited to:
Graphic design and branding
Web design and development
UI/UX design
Website maintenance and updates
Digital marketing support
We may also provide additional services on a project-by-project basis, as agreed in writing with the Client.
2. Client Responsibilities
The Client agrees to:
Provide accurate, complete, and timely information necessary for SONICK to perform the services
Approve or provide feedback on designs, websites, or deliverables within a reasonable timeframe
Ensure that materials provided do not infringe on any third-party rights, including intellectual property
Provide payment in accordance with the agreed terms
Failure to meet these responsibilities may result in delays, additional charges, or suspension of services.
3. Project Scope and Deliverables
Each project will be outlined in a separate proposal, quote, or contract, specifying the scope of work, deliverables, timeline, and costs. Changes to the agreed scope may require a written amendment and may incur additional fees.
4. Intellectual Property
All intellectual property rights in the materials, designs, code, and content created by SONICK remain the property of SONICK until full payment is received.
Upon full payment, the Client receives a license to use the delivered materials for their intended purpose.
SONICK retains the right to showcase work in portfolios, marketing materials, or case studies unless otherwise agreed in writing.
The Client warrants that any content provided does not infringe third-party intellectual property rights and indemnifies SONICK against any claims arising from such infringement.
5. Payment Terms
Payments are due according to the agreed schedule outlined in the project proposal or invoice.
Late payments may incur interest or suspension of services.
SONICK reserves the right to halt work on a project until overdue amounts are settled.
6. Confidentiality
Both parties agree to treat any non-public information exchanged in connection with services as confidential. This includes business plans, technical information, design concepts, and proprietary methods. Confidential information may not be disclosed to third parties without prior written consent, except as required by law.
7. Warranties and Disclaimers
SONICK strives to deliver services professionally and in line with industry standards.
All services are provided “as-is,” and SONICK disclaims any warranty of merchantability, fitness for a particular purpose, or non-infringement beyond what is expressly stated.
SONICK is not liable for indirect, incidental, or consequential damages arising from the use of our services.
8. Limitation of Liability
To the maximum extent permitted by law:
SONICK’s liability for any claim arising out of or related to these Terms or the services shall not exceed the total fees paid by the Client for the relevant project.
SONICK is not liable for any loss of data, profits, or business interruptions caused by Client systems, third-party services, or other factors outside our direct control.
9. Termination
Either party may terminate services with written notice.
Upon termination, the Client shall pay for all completed work up to the termination date.
SONICK may retain ownership of partially completed work until payment is made.
10. Governing Law
These Terms are governed by the laws of South Africa. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Johannesburg, South Africa.
11. Modifications
SONICK reserves the right to modify these Terms at any time. Updates will be posted on our website with a revised effective date. Continued use of services constitutes acceptance of the updated Terms.
12. Communication
All notices or communications under these Terms shall be sent to the email or physical address provided by the Client and are deemed effective upon receipt.
13. Entire Agreement
These Terms, together with any written project proposals or agreements, constitute the entire agreement between the parties regarding the services and supersede all prior discussions or agreements, whether written or oral.
